SAEFF – TERMS OF SALE AND USE

1. AGREEMENT TO TERMS

THESE TERMS OF SALE GOVERN YOUR SHOPPING EXPERIENCE, INCLUDING PURCHASES OF SAEFF PRODUCTS, FROM SAEFF STORES (DEFINED BELOW) IN THE UNITED STATES. PLEASE REVIEW THESE TERMS CAREFULLY BEFORE ORDERING PRODUCTS ONLINE OR OTHERWISE PURCHASING FROM A SAEFF STORE.

BY SHOPPING IN A SAEFF STORE OR PURCHASING A SAEFF PRODUCT IN THE UNITED STATES, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS OF SALE. IF YOU DO NOT AGREE, YOU MUST (A) STOP USING OUR DIGITAL STORES AND AVOID VISITING OUR PHYSICAL LOCATIONS, (B) NOT COMPLETE A PURCHASE, OR (C) RETURN ANY ELIGIBLE PURCHASE WITHIN THE APPLICABLE RETURN WINDOW.

You may shop with SAEFF if you are of legal age in your jurisdiction or have the consent of a parent or legal guardian.

2. APPLICABILITY

These Terms of Sale ("Terms") apply to purchases made at SAEFF’s physical retail locations ("Retail Stores") and through SAEFF’s official e-commerce platforms, including saeff.com ("Digital Store"). Together, these are referred to as the "Saeff Stores". These Terms create a binding agreement between you and SAEFF, LLC ("Saeff", "we", "us", or "our").

We may update these Terms periodically. The version posted at the time of your purchase will govern that transaction.

In addition to these Terms, your use of SAEFF Stores is governed by our [Terms of Use] and [Privacy Policy], which are incorporated herein by reference.

3. PRODUCTS AND SAFETY NOTICE

Saeff designs and sells stab-resistant garments, which are engineered to offer a degree of resistance against puncture threats. These are not bulletproof or guaranteed to prevent injury or death. Saeff products should not be used as a substitute for appropriate law enforcement, military-grade, or ballistic protection gear.

Saeff disclaims all liability for injury or loss arising from misuse, unauthorized modification, or reliance on the garments beyond their intended use.

4. PURCHASING PRODUCTS

4.1. End-Use Only; No Purchase for Resale

Saeff products are sold exclusively for personal use by end consumers. Purchasing for resale is strictly prohibited. If we suspect a resale intent, we reserve the right to cancel your order, deny refunds, suspend your account, restrict future purchases, and take other legal or administrative actions as necessary.

4.2. Online Purchases

To place an order on our Digital Store, you must provide your full name, shipping address, email, and valid payment method. By placing an order, you confirm that all information is accurate and that you are authorized to use the payment method provided.

4.3. Order Confirmation and Acceptance

When you place an order, you will receive an order acknowledgment via email. This does not signify our acceptance. Your order becomes binding upon shipment. If a product is unavailable, we will notify you and cancel that portion of your order.

5. ORDER REJECTION OR CANCELLATION

We may cancel or reject orders at our sole discretion, including but not limited to situations involving:

Product unavailability
Incorrect billing or payment information
Suspicion of fraud or automated purchases
Suspected resale or excessive return behavior
Violation of purchase limits
Errors in product pricing or descriptions

If your order is cancelled, we will notify you and refund any payment received.

6. TITLE AND RISK OF LOSS

Title and risk of loss for items purchased online pass to you upon delivery to the shipping carrier. For in-store purchases or pickups, title passes upon your physical receipt. Title to products will not transfer until full payment is received.

7. PAYMENT TERMS

We accept multiple forms of payment, including credit and debit cards, and other methods as posted in our Digital Store or Retail Stores. Do not attempt payment through any unsupported means. Saeff is not responsible for any loss or delay resulting from non-accepted payment methods.

For pre-orders or custom orders, your card may be pre-authorized and charged prior to shipment.

All prices are listed in U.S. dollars and exclude sales tax unless stated otherwise. Shipping fees are calculated during checkout.

8. SHIPPING & DELIVERY

We ship within the United States and its territories only. Estimated delivery times and shipping methods are provided at checkout. Delivery times are not guaranteed.

We reserve the right to split orders into multiple shipments without additional cost to you.

Upon delivery, please inspect the package. If it appears damaged, refuse the shipment and contact us immediately.

9. RETURNS & CANCELLATIONS

9.1. Order Cancellations (Digital Store)

You may cancel an online order within 30 minutes of placing it, subject to processing status. If the order has shipped, it cannot be cancelled but may be eligible for return.

9.2. Returns and Refunds

Returns are accepted within 30 days of purchase, provided products are unused, unwashed, and in original condition with all tags attached. Items marked “Final Sale” are not eligible for return.

Returns must follow the procedures outlined at [saeff.com/returns].

9.3. Defective Products

If you receive a defective product or one not conforming to your order, please contact us immediately. If the claim is valid, we will offer a full refund or replacement.

Refunds will be issued to the original payment method.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SAEFF’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT(S) IN QUESTION.

SAEFF SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR DATA, ARISING FROM YOUR USE OF OUR PRODUCTS OR STORES.

11. DISCLAIMER OF WARRANTY

ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SAEFF DISCLAIMS LIABILITY FOR ANY ERRORS IN PRICING OR PRODUCT INFORMATION.

This disclaimer does not apply to any product warranty explicitly offered by Saeff in writing or required by applicable law.

12. INDEMNIFICATION AND RELEASE

You agree to indemnify and hold harmless Saeff, LLC, its officers, employees, and affiliates from any claims or liabilities arising from your use of Saeff Stores, your violation of these Terms, or your infringement of any third-party rights.

You release Saeff from all claims, damages, and liabilities arising from or related to your conduct in connection with our stores or products.

13. FORCE MAJEURE

Saeff is not liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, war, terrorism, pandemics, and internet outages.

14. DISPUTES AND GOVERNING LAW

These Terms are governed by the laws of the State of [Insert State, e.g., California], without regard to its conflict of law rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in [Insert County, State].

All claims must be brought within one (1) year of the event giving rise to the claim.

15. MISCELLANEOUS

Saeff may assign its rights under these Terms at any time.
Failure to enforce any provision shall not constitute a waiver.
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

Welcome to Saeff. Please read these Terms of Use (“Terms”) carefully before using any Saeff websites, applications, services, or products. These Terms constitute a legally binding agreement between you and Saeff, LLC ("Saeff," “we,” “us,” or “our”) and apply to all use of our:

Websites, digital platforms, mobile apps, and social media accounts (collectively, the “Platform”);
Stab-resistant garments and other apparel or products (“Products”);
Any services or features accessible through or enabled by our Platform (“Services”); and
In-store events or promotional experiences hosted or facilitated by Saeff (“Experiences”).

By accessing or using our Services, purchasing Products, or participating in Experiences, you agree to these Terms. If you do not agree, please discontinue your use of the Services and refrain from making purchases.

1. Updates and Supplemental Terms

We may revise these Terms periodically. The date at the top of this page indicates the most recent revision. Updates become effective immediately upon posting unless otherwise specified. Continued use of our Platform or Services after updates means you accept the revised Terms.

Supplemental terms may apply to specific products, services, or campaigns. If supplemental terms conflict with these Terms, the supplemental terms will govern for that specific offering.

2. Eligibility

To use the Platform or Services and make purchases, you must be at least the age of majority in your jurisdiction. If you are under 18, you may only use the Services with the involvement and consent of a parent or guardian who agrees to these Terms.

3. Account Registration

You may be required to create an account to use certain Services. You agree to:

Provide truthful, current, and complete information.
Maintain the confidentiality of your login credentials.
Accept responsibility for all activity under your account.
Notify us immediately of any unauthorized access.

You may not create an account on behalf of anyone else or transfer your account to another party.

4. Product Disclaimer and Intended Use

Saeff’s Products are stab-resistant, not stab-proof, and are not designed to replace body armor, tactical, ballistic, or military-grade protection. They are intended for civilian use only.

Improper use of these Products may result in injury or death. You are solely responsible for ensuring that your use of our Products complies with all laws and safety practices applicable in your jurisdiction and circumstances.

5. License to Use Services

Saeff grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Platform and Services for your personal, non-commercial use only. This license does not grant any ownership rights and may be terminated at our discretion if you violate these Terms.

You may not:

Copy, modify, or distribute Platform content;
Reverse engineer or attempt to extract source code from any software;
Use the Services for unlawful, fraudulent, or harmful purposes.

6. Content Ownership and Intellectual Property

All content on our Platform—excluding user-generated content—is the property of Saeff or our licensors, and is protected by intellectual property laws. This includes but is not limited to designs, text, images, videos, logos, audio, and software.

“Saeff” and any associated trademarks, trade dress, and logos are the property of Saeff, LLC and may not be used without our express written permission.

7. User-Generated Content

If you submit content to Saeff (e.g., reviews, photos, testimonials), you retain ownership of your content, but you grant Saeff a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute your content in any medium, for any lawful purpose.

You are solely responsible for ensuring you have the right to share any content you submit and that it does not violate the rights of any third party.

8. Prohibited Conduct

While using our Services, you agree not to:

Post false, harmful, obscene, discriminatory, or illegal content;
Harass, threaten, or defame others;
Use bots, scrapers, or other automated tools without our written consent;
Attempt unauthorized access to any part of the Platform or its systems;
Violate any applicable laws or third-party rights.

Violation of these rules may result in termination of your access and reporting to authorities.

9. Feedback

We welcome your feedback. Any ideas, suggestions, or comments submitted to Saeff are non-confidential and you grant us a royalty-free, perpetual license to use your feedback for any lawful business purpose without acknowledgment or compensation.

10. Physical Safety Disclaimer

Our Platform and content may include information related to physical safety, self-defense, or personal protection. This content is provided for informational purposes only and is not a substitute for professional training or medical advice. Always consult a professional regarding any use of protective gear or self-defense techniques.

You assume all risks associated with using Saeff Products, including risks related to physical activity, safety, and your environment.

11. Indemnification

You agree to indemnify, defend, and hold harmless Saeff, LLC, its affiliates, officers, employees, contractors, licensors, and agents (collectively, “Saeff Parties”) from any claims, losses, liabilities, or expenses (including attorney’s fees) arising from:

Your use of the Services or Products;
Your violation of these Terms or any law;
Your content submissions or feedback; or
Your interaction with other users or third parties.

12. Disclaimer of Warranties

Unless expressly stated otherwise, the Services and Products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

We disclaim all express or implied warranties, including:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of information

We do not guarantee uninterrupted or error-free access to the Platform or that our Products will meet your expectations.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAEFF AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF OUR PRODUCTS OR SERVICES SHALL NOT EXCEED:

THE GREATER OF USD $100, OR
THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE IN QUESTION.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, these limitations will apply only to the extent permitted by law.

14. Modification and Termination

We reserve the right to modify, suspend, or discontinue any part of our Platform, Services, or Experiences at any time without notice.

We may also terminate or restrict your access for any reason, including violation of these Terms, without liability.

15. Dispute Resolution and Governing Law

Export Control: Products and Services may not be exported to certain jurisdictions or individuals prohibited under U.S. law.
Assignment: You may not assign your rights under these Terms. Saeff may assign these Terms at any time.
Waiver: Our failure to enforce any provision does not waive our right to do so later.
Severability: If any part of these Terms is deemed invalid, the rest remain enforceable.
Entire Agreement: These Terms, including our Privacy Policy and Terms of Sale, constitute the entire agreement between you and Saeff.
